Terms of Service

These Terms of Service ("Terms") govern your access to and use of MiruIQ ("the Service"), a document automation platform operated by Acosom GmbH ("we", "us", "our"), a company registered in Switzerland (UID: CH-020.4.072.631-0), with its registered address at Churerstrasse 160B, 8808 Schwyz, Switzerland.

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

MiruIQ is a cloud-based platform for automated document processing. The Service enables users to extract structured data from documents using configurable pipelines, classifiers, and AI-powered extraction modules.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable. We will notify you of material changes via email or through the Service interface.

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information.
• Maintain the security of your account credentials and API keys.
• Promptly notify us of any unauthorized use of your account.
• Accept responsibility for all activity that occurs under your account.

You must be at least 18 years old to use the Service. Accounts registered by automated methods (bots) are not permitted.

MiruIQ offers subscription plans with pre-paid monthly pricing. Each plan includes a fixed number of documents per month. Details of available plans and pricing are published on our website.

• Payments are processed by our payment provider, Paddle (Paddle.com Market Limited). By subscribing, you also agree to Paddle's terms of service.
• Subscriptions renew automatically at the end of each billing period unless cancelled.
• All fees are exclusive of applicable taxes, which will be added by Paddle as required by law.
• We reserve the right to change pricing with 30 days' notice. Price changes do not affect the current billing period.

We offer a 14-day free trial with up to 200 documents. No payment information is required to start the trial. At the end of the trial, your account reverts to the free plan unless you subscribe to a paid plan. Your data and configurations are retained.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload content that is unlawful, harmful, threatening, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to build a competing product or for benchmarking purposes without our consent.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.

You retain all ownership rights to the documents and data you upload to the Service ("Your Data"). We do not claim any intellectual property rights over Your Data.

By using the Service, you grant us a limited, non-exclusive license to process Your Data solely for the purpose of providing the Service to you. We will not access, use, or share Your Data for any other purpose.

You are responsible for ensuring that you have all necessary rights and permissions to upload and process Your Data through the Service.

The Service, including its software, design, features, documentation, and all related intellectual property, is and remains the exclusive property of Acosom GmbH. These Terms do not grant you any rights to our trademarks, logos, or brand features.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the term of your subscription.

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be communicated in advance where possible.

Enterprise plan customers may be eligible for a separate Service Level Agreement (SLA) with specific uptime guarantees and support response times.

To the maximum extent permitted by applicable law, Acosom GmbH and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that extraction results will be 100% accurate. AI-powered processing may produce errors, and you are responsible for reviewing and validating output for your specific use case.

You may terminate your account at any time by cancelling your subscription through the Service or by contacting us. Your access to paid features continues until the end of the current billing period.

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms or engage in activity that we reasonably believe may harm the Service or other users.

Upon termination, your right to use the Service ceases. We will retain Your Data for a reasonable period (typically 30 days) to allow you to export it, after which it may be deleted.

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of Switzerland. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Schwyz, Switzerland.
